Senior Associate - Corporate
A leading law firm is seeking an experienced Senior Associate to join its growing Corporate Team in London. This is an opportunity for a talented lawyer to play a key role within a highly regarded team, providing support to partners, managing junior lawyers, and building strong client relationships.
The Role
Senior Associates are central to the success of the Corporate Team. The successful candidate will:
- Deliver outstanding legal services on transactional and corporate matters, offering technically accurate advice tailored to clients’ commercial needs.
- Take responsibility for managing multiple transactions, making decisions independently with minimal supervision, and escalating only highly complex matters to partners.
- Support partners on large-scale and complex deals, while taking the lead where appropriate.
- Supervise trainees and junior fee-earners, as well as liaise with external experts such as counsel and tax advisers.
- Oversee due diligence processes on both buy-side and sell-side transactions, including managing virtual data rooms, drafting reports, and coordinating with specialist teams.
- Draft, review, and negotiate key transaction documents, including share purchase agreements, asset purchase agreements, and investment agreements.
- Demonstrate expertise in price adjustment mechanisms such as completion accounts, locked box arrangements, and earn-outs.
- Manage signing and completion processes and maintain accurate transaction documentation throughout.
The Team
The Corporate Team operates across several key UK offices and includes specialists in M&A, equity fundraisings (including venture capital and private equity), joint ventures, company reorganisations, governance, and employee share schemes. The team’s clients range from entrepreneurial start-ups and high-growth businesses to large private companies and listed entities.
Working Arrangements
The role offers a hybrid working model, typically three days in the office and two from home (subject to business needs). Some travel to other UK offices may be required.
Key Skills & Experience
- Qualified solicitor in a corporate law team.
- Strong technical expertise in corporate transactions, particularly M&A.
- Excellent project management skills, with the ability to manage multiple deals and anticipate issues.
- Business-minded approach with a clear understanding of how law firms operate and the importance of client relationship management.
- Strong leadership skills, with experience supervising junior team members.
- Ambitious and motivated, with a commitment to professional growth and development.
